Welco terms of service
These terms are the agreement between your business and Monocubed, Inc for using Welco. Welco is for system alerts to your own staff, and nothing else. By creating an account or using Welco, you agree to these terms.
Who these terms are between
Welco is provided by Monocubed, Inc, 651 North Broad Street, Suite 206, Middletown, Delaware 19709, United States ("we", "us"). "You" means the business that opens a Welco account, and the people it lets use that account.
If you accept these terms for a business, you confirm that you have the authority to bind it. Welco is for businesses and organizations. It is not for personal or household use.
What Welco does
Welco turns alert emails from your machines and systems into text messages for the staff you choose. The features available to you are described on our website and may change over time. Plans and prices are listed on our pricing page.
Alerts-only use
You may use Welco only to send alerts from your systems to your own staff, contractors or on-call teams who look after those systems. Alerts include alarms, faults, outages, status changes and urgent voicemail notices.
You may not use Welco for marketing, advertising, sales outreach, reminders to customers, or any texts to the public. The acceptable use policy is part of these terms and gives the full list of what is not allowed.
Spam is never allowed. Welco does not send advertising texts for any customer, at any price.
Your account and business verification
- Sign up with a work email on your company's own domain. We do not accept free or personal mailboxes.
- Give us true and complete details when you sign up, and keep them up to date. Each new account books a short intro call before we verify it.
- We verify each business before it can send. We may refuse, pause or withdraw verification if details can't be confirmed.
- Keep your logins safe. You are responsible for what happens under your account, including what your approved senders send.
- Keep your Welco address and approved sender list under your control. Remove senders you no longer use.
People who receive your alerts
- Invite only people who work with you and expect your alerts. Each person must join and confirm their own phone. You may not enter or confirm a phone number for someone else.
- Each person must confirm by replying YES before they receive alerts. Do not try to get around this step.
- Honor every opt-out. If someone replies STOP, do not invite them again unless they ask you to.
- Tell your staff what alerts they will get and how to stop them. Our SMS terms explain this for recipients.
Prohibited content
Your alerts must not contain content that is illegal, fraudulent, deceptive, harassing, hateful or sexually explicit. They must not contain links to malware or phishing pages, or content about illegal drugs, gambling, or the sale of alcohol, tobacco, cannabis or firearms. They must not include passwords, full card numbers or government ID numbers.
You are responsible for the content of the emails your systems send to Welco. We may hold, change or refuse to send a text that we believe breaks these rules or is likely to be blocked by mobile networks.
Welco automatically holds any text that contains a word or phrase on our blocked words list. A held text is not sent.
The sender name and opt-out line on every text
Mobile networks require every business text to name its sender and say how to opt out. So Welco starts every text with "Welco:" and ends it with "Reply STOP to opt out."
Welco adds both lines itself, whatever your email says, and you can't remove them. They count toward the message credits each text uses.
Fees, billing and texts
- The free trial lasts 7 days and includes 15 message credits. It needs a card for verification. We do not charge it during the trial, we email you before any billing, and we charge it only after you approve a plan.
- After that we bill monthly or yearly, with an invoice for each charge. You pay the fees for your plan and any extras you choose, at the prices on the pricing page. Prices exclude any taxes, which you are responsible for.
- All prices are in US dollars (USD) for every customer, in every country.
- Your plan continues each month or year until you cancel, and we charge your card at the start of each billing period. You can cancel at any time, and the cancellation takes effect at the end of the current billing period.
- Customers in the UK and the European Union must give a valid VAT number before we invoice them. Their invoices carry a reverse charge note.
- Plans include a monthly number of message credits. One credit covers one text part to one phone, counted the way mobile networks count them. One alert uses at most 6 credits per phone.
- Texts in both directions count toward your credits the same way. That includes your staff's replies and Welco's own confirmation, HELP and STOP texts.
- We email the account owner when 80%, 90% and 95% of the month's credits are used. When they run out, a credit pack on the account is used automatically. Without one, further alerts are not sent until you add a pack or change plans, and we never charge for overage.
- Monthly plan credits don't carry over to the next month. Credit packs never expire, and they are used only after the month's plan credits run out.
- You can move to a higher or lower plan yourself at any time.
- A text uses credits once Welco hands it to the mobile network, even if the network later fails to deliver it. Texts we hold or reject before sending use none.
- Fees already paid are not refundable, except where the law requires a refund. We give no refunds or credits for texts that were not delivered.
- If we warn, pause or close your account for breaking these terms or the acceptable use policy, we refund nothing. That includes plan fees, unused credits and credit packs.
- We may change prices. We will tell you before a new price applies to your next billing period.
Delivery and availability
We work hard to deliver every alert and keep Welco running. We can't promise that every text will arrive, arrive on time, or that Welco will never be down. Texts pass through mobile networks and phones that we do not control. Our delivery rates disclosure explains this in detail.
Welco is not a replacement for code-required fire alarm monitoring or emergency services.
Keep your system's own alarms, displays and other ways of finding out about a problem. Do not make Welco your only way to learn about events that could cause injury or serious damage.
Suspension and termination
We may suspend or close your account, or stop texts from a sender, if we believe you have broken these terms or the acceptable use policy, if fees are unpaid, if a mobile network or regulator asks us to, or if your use puts Welco or its users at risk. Where we reasonably can, we will tell you why and give you a chance to fix the problem first.
Each breach of these terms or the acceptable use policy earns a written warning, emailed to the account owner. The third written warning closes the account automatically.
Fraud, phishing, illegal content, or an order from a mobile network or regulator can lead us to suspend an account at once, with no warning first.
You may close your account at any time by contacting us. When an account closes, alerts stop and we handle your data as described in our privacy policy.
Your data and ours
You own the alert content and recipient details you put into Welco. You give us permission to store, process and send that content as needed to run Welco for you, and to keep the records the law requires.
We own the Welco service, website, software and brand. You may not copy, resell, reverse engineer or build a competing service from them. If you send us ideas or feedback, we may use them without owing you anything.
Disclaimers
Welco is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
Limits on our liability
To the extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. This includes losses caused by an alert that was delayed, not delivered or not read.
Our total liability for any claim about Welco is limited to the fees you paid us in the 12 months before the claim arose.
Your responsibility for claims
You will defend and hold harmless Monocubed, Inc against claims, fines and costs that arise from your alert content, from texting people without their consent, or from your breach of these terms.
Changes to Welco and these terms
We may update Welco and these terms. The date at the top of this page shows the current version. For changes that matter to you, we will notify account owners by email before they take effect. If you keep using Welco after that, the new terms apply.
Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. Any dispute will be heard in the state or federal courts located in Delaware, and both sides agree to those courts.
Other legal points
- These terms, the acceptable use policy, the SMS terms and the privacy policy are the whole agreement between us about Welco.
- If part of these terms can't be enforced, the rest still applies.
- If we don't enforce a right straight away, we have not given it up.
- You may not transfer your account without our written consent. We may transfer these terms as part of a merger or sale.
